Recommended Photographer Network Terms and Conditions

Effective date: 31 October 2024

§ 1 Definitions

  • Administrator – Framky sp. z o. o. with registered office in Warsaw (04-796), ul. Heliotropów 29, entered in the Register of Entrepreneurs under KRS number 0000899512, NIP: 5213928409, REGON: 38893179800000, share capital: PLN 100,000.

  • Program – Recommended Photographer Network, a program run by the Administrator, consisting of recommending photographers to Framky clients.

  • Photographer – a natural person conducting business activity in the field of photographic services, who has been accepted into the Program.

  • Photographer Profile – a public profile of the Photographer in the Recommended Photographer Network directory, containing service description, portfolio and contact details.

  • Directory – publicly available Recommended Photographer Network directory, containing profiles of Photographers participating in the Program.

§ 2 General Provisions

  1. The Recommended Photographer Network Program is run by the Administrator and aims to recommend photographers meeting high quality standards to Framky clients.

  2. These Terms and Conditions define the rules of cooperation between the Administrator and Photographers. Joining the Program means acceptance of the Terms and Conditions in their entirety.

  3. Participation in the Program is free of charge. The Administrator does not charge any fees for registration, participation or profile publication.

  4. The Administrator does not charge commission from photo sessions carried out by Photographers with clients referred through the Program.

  5. The Administrator reserves the right to accept or reject any application to the Program at its sole discretion.

§ 3 Participation Requirements

To be accepted into the Program, a Photographer must meet the following requirements:

  1. Google Reviews ratings

    • Minimum 4.8 stars in Google reviews
  2. Portfolio

    • Minimum 15 professional photos
    • Specialization in family, wedding or children photography
  3. Professional activity

    • Minimum 30 photo sessions per year
    • Conducting active photography business
  4. Website

    • Having an active website or social media profile
    • Access to online portfolio

§ 4 Application and Verification Process

  1. To join the Program, the Photographer completes an application form containing:

    • First and last name
    • Email address
    • Website address or social media profile
    • Confirmation of meeting the Program requirements
  2. The Administrator verifies the application within 3-5 business days, checking:

    • Google Reviews ratings
    • Portfolio quality
    • Compliance with Program requirements
  3. The Administrator prepares a description of the Photographer's profile based on content from their website.

  4. Before publishing the profile, the Administrator sends the Photographer the proposed description for approval.

  5. After approving the description, the Photographer's profile is published in the Recommended Photographer Network directory.

  6. The Administrator notifies the Photographer about acceptance or rejection of the application by email.

§ 5 Profile Publication

  1. The Photographer's profile in the Recommended Photographer Network directory may contain:

    • First and last name or studio name
    • Description of specialization and photographic style
    • Business location
    • Website link
    • Selected photos from portfolio (with Photographer's consent)
  2. The Administrator has the right to edit profile content to ensure consistency and quality of the directory.

  3. The Photographer has the right to submit corrections to the profile description at any time.

  4. The Administrator undertakes to implement submitted corrections within 5 business days.

§ 6 Contact with Clients

  1. The Administrator directs Framky clients looking for a photographer to the Recommended Photographer Network Directory page.

  2. In the Directory, the client can browse Photographers' profiles and choose a photographer meeting their needs.

  3. The Photographer's profile contains a link to their website or social media profile.

  4. The client contacts the Photographer directly through contact details available on the Photographer's page.

  5. The Administrator does not mediate contact between the client and the Photographer.

  6. The number of contacts a Photographer may receive depends on:

    • Photographer's business location
    • Number of Framky clients in the region
    • Attractiveness of the Photographer's profile
    • Profile position in the Directory
  7. The Administrator does not guarantee a minimum number of client contacts.

  8. The Photographer independently decides on:

    • Accepting or rejecting a client inquiry
    • Price for photographic services
    • Terms of cooperation with the client
    • Form and scope of services provided

§ 7 Rules of Cooperation with Clients

  1. The Photographer conducts direct communication and cooperation with the client who contacted them through the Directory.

  2. The Administrator does not interfere in the relationship between the Photographer and the client.

  3. The Administrator is not responsible for:

    • Quality of photographic services provided by the Photographer
    • Disputes between the Photographer and the client
    • Financial terms agreed between the Photographer and the client
  4. The Photographer undertakes to:

    • Professional customer service
    • Timely execution of orders
    • Honest communication with clients
  5. In case of receiving justified complaints about the Photographer, the Administrator reserves the right to suspend or remove the Photographer's profile from the Program.

§ 8 Withdrawal from the Program

  1. The Photographer may withdraw from participation in the Program at any time by sending an email to partnerships@framky.com.

  2. Upon receiving the withdrawal, the Administrator removes the Photographer's profile from the directory within 5 business days.

  3. Withdrawal from the Program does not entail any financial consequences for the Photographer.

  4. A Photographer who has withdrawn from the Program may reapply after 30 days from withdrawal.

§ 9 Suspension or Removal from the Program

The Administrator may suspend or remove a Photographer from the Program in the following cases:

  1. Failure to meet Program requirements (Google ratings drop below 4.8 stars)

  2. Receiving justified complaints from clients about service quality

  3. Unprofessional behaviour towards clients

  4. Violation of provisions of these Terms and Conditions

  5. Cessation of photography activity

  6. Attempted abuse of the Program or fraud

  7. In case of suspension or removal from the Program, the Administrator notifies the Photographer by email, stating the reason for the decision.

§ 10 Personal Data Protection

  1. The personal data controller of Photographers is Framky sp. z o. o.

  2. Photographers' personal data are processed for the purpose of:

    • Handling participation in the Program
    • Publishing profile in the directory
    • Enabling clients to contact the Photographer
    • Communication related to the Program
  3. Photographers' personal data are not transferred to third parties, except in situations required by law.

  4. The Photographer has the right to:

    • Access their personal data
    • Correct their data
    • Delete their data (after withdrawal from the Program)
    • Restrict data processing
    • Data portability
  5. Detailed information about personal data processing can be found in Framky's Privacy Policy.

§ 11 Intellectual Property Rights

  1. The Photographer grants the Administrator a non-exclusive, free license to:

    • Publish photos from the Photographer's portfolio in the Recommended Photographer Network directory
    • Use the first and last name or studio name for promotional purposes of the Program
    • Publish the Photographer's service description
  2. The license is valid during the Photographer's participation in the Program and for 30 days after withdrawal (to complete current marketing campaigns).

  3. The Photographer ensures that they hold all rights to photos and content provided to the Administrator.

  4. The Photographer bears full responsibility for violation of third party rights resulting from publication of photos or content.

§ 12 Liability

  1. The Administrator is not liable for:

    • Effects of cooperation between the Photographer and the client
    • Lack of client contacts
    • Decrease in number of client contacts
  2. The Administrator makes every effort to ensure that information about Photographers in the directory is current and correct, however is not liable for any errors.

  3. The Photographer bears full responsibility for:

    • Quality of photographic services provided
    • Timeliness of order execution
    • Relations with clients referred through the Program

§ 13 Final Provisions

  1. The Administrator reserves the right to change these Terms and Conditions at any time.

  2. Photographers will be notified of changes to the Terms and Conditions by email at least 14 days before the changes take effect.

  3. Lack of objection from the Photographer to changes within 14 days of notification means acceptance of the new Terms and Conditions.

  4. In matters not regulated by these Terms and Conditions, provisions of Polish law shall apply.

  5. Any disputes arising from participation in the Program shall be resolved by the court having jurisdiction over the Administrator's registered office.

  6. These Terms and Conditions come into force on 31 October 2024.
